When a company is dealing with the risks of business or is experiencing financial difficulties, the directors and other company officers will invariably be concerned as to the personal risks to which they are exposed.
Berry Smith can advise directors personally on their rights and obligations as officeholders in limited companies. This advice is particularly valuable at times when difficult decisions need to be made and in circumstances where the principle of separate corporate personality may not apply. We frequently advise directors in connection with their liabilities and obligations under the Insolvency Act.
We also have experience in defending directors from claims of breach of directors' duties - particularly in resisting disqualification proceedings brought against directors by the Department of Trade & Industry. We can also advise on applications for leave to act as director when disqualified. Berry Smith are also experts when it comes to orders permitting directors to be involved with new companies that have similar names to those of companies in liquidation (with which they have also been involved).
